1. These General Terms and Conditions (hereinafter "GTC") govern the contractual relationship between inden.space (hereinafter "inden.space") and its contractual partners (hereinafter "Client").
2. The services of inden.space are directed exclusively to entrepreneurs, traders, legal entities, and clients in the B2B sector. Contracts with consumers or private individuals within the meaning of Swiss consumer protection law are explicitly not concluded.
3. Any deviating, conflicting, or supplementary terms of the Client shall not become part of the contract, even if they are not explicitly contradicted, unless inden.space agrees to their validity in writing.
1. A contract is established upon written order confirmation, signing of a service agreement, or by the commencement of service delivery by inden.space.
2. Minimum Contract Term: All recurring service packages (retainers) are subject to a minimum trial term of three (3) months, unless a longer term is specified in the individual contract.
3. Notice Period: Following the minimum contract term, the agreement automatically renews on a month-to-month basis. It can be terminated by either party with a notice period of one (1) month prior to the end of the respective contract month.
4. The right to immediate termination for good cause (e.g., in the event of default on payment despite reminder) remains unaffected.
1. inden.space provides services in digital search engine optimization (SEO), Generative Engine Optimization (GEO/AEO), web development, and AI search visibility.
2. Production Location Germany: All services and digital work products by inden.space are exclusively conceived, developed, and delivered in Germany.
3. The contractual agreements legally qualify as a service commission (agency agreement) pursuant to Art. 394 et seq. of the Swiss Code of Obligations (CO).
1. Billing Mode: Payment is due in advance at the beginning of each service month (pre-payment).
2. Invoicing Currencies: Invoices are issued by inden.space in Swiss Francs (CHF), Euros (EUR), or US Dollars (USD), as specified in the offer/tariff model on inden.space.
3. Payment Deadline: All invoices must be settled via bank transfer to inden.space's bank account within 14 calendar days from the invoice date without deductions.
4. Failure to settle the invoice within the 14-day window constitutes default without further warning (Art. 102 para. 2 CO). In the event of default, inden.space is entitled to charge default interest at 5% p.a. and suspend further service delivery until full payment is received.
1. Since services are rendered exclusively to business clients (B2B), cross-border services do not include Swiss VAT (Reverse-Charge procedure / transition of tax liability to the service recipient).
2. The Client is solely responsible for properly declaring and paying any sales or acquisition taxes due in their respective country of residence.
1. inden.space delivers its services diligently and in accordance with the current state of technology. However, no warranty is given for specific ranking positions in search engines (e.g., Google Maps / Local Pack) or for concrete citations in AI search engines (e.g., ChatGPT, Perplexity, Gemini).
2. The Client acknowledges that search engine algorithms and third-party AI retrieval models lie outside inden.space's scope of control and are subject to change at any time.
3. inden.space works strictly according to the guidelines of the BVDW SEO Code of Conduct. Non-compliant placement or success guarantees are explicitly excluded.
1. The liability of inden.space is excluded to the maximum extent permitted by law under Art. 100 and Art. 101 CO.
2. inden.space is liable solely for direct damages proven to be caused by unlawful intent (wilful misconduct) or gross negligence.
3. Liability for minor or ordinary negligence, indirect damages, consequential damages, lost profits, data loss, business interruption, or damages to third parties is excluded.
4. inden.space is not liable for blocks, policy changes, or algorithm updates by third-party providers (e.g., Google, OpenAI, Anthropic, Microsoft).
1. The Client is obliged to provide inden.space with all data, access credentials (e.g., Google Business Profile, CMS access), and approvals necessary for carrying out the contract in a timely manner.
2. Delays resulting from late client cooperation will extend delivery deadlines accordingly and do not release the Client from their monthly payment obligations.
1. All legal relations between inden.space and the Client shall be governed exclusively by Swiss substantive law, excluding international private law and the UN Convention on Contracts for the International Sale of Goods (CISG).
2. The exclusive place of jurisdiction for all disputes arising from or in connection with this contract is Paderborn, Germany.
